Introduction

Les présentes Conditions Générales de Vente et de Services (ci-après « CGV&S ») sont applicables à la fourniture des Services par la société BJT PARTNERS - RINGOVER GROUP, ayant pour nom commercial « RINGOVER GROUP », société par actions simplifiée au capital de 1 511 491 euros, immatriculée au registre du commerce et des sociétés de Nanterre sous le numéro 480234210, dont le siège social est situé au 50 bis rue Maurice Arnoux à Montrouge (92120), (ci-après « RINGOVER GROUP »), à ses clients (ci-après dénommés le « Client »). Il est précisé que les Services sont strictement limités à une utilisation à des fins professionnelles à l’exclusion de toute utilisation en qualité de consommateur au sens du Code de la Consommation. Les CGV&S doivent être acceptées par le Client qui s’engage à les transmettre et à les faire respecter par les Utilisateurs.

Définitions

« Accès » désigne un droit limité concédé au Client de créer un Compte Utilisateur.

« Bon de Commande » désigne le document contractuel généré par RINGOVER GROUP et adressé au Client précisant la formule Souscription choisie et le nombre d’Accès demandés.

« Client » désigne la personne morale ou physique qui souscrit à un Service en qualité de professionnel.

« Compte Client » désigne le compte créé par le Client lors de la Souscription et auquel sont rattachés les comptes des Utilisateurs et les Accès acquis par le Client.

« Compte Utilisateur » désigne le compte créé par le Client en vertu d’un Accès et attribué à l’Utilisateur pour l’utilisation du Service.

« Contenu du Client » désigne les informations dont dispose le Client indépendamment de l’utilisation des Services et soumises par le Client dans le cadre de l’utilisation des Services.

« Contrat » désigne l’ensemble contractuel composé des présentes CGV&S et de ses Annexes et de tout Bon de Commande Applicable.

« Date d’Effet » désigne la date de signature des présentes par les parties.

« Incident » désigne l’interruption totale du Service, constatée et mesurée par RINGOVER GROUP.

« Information Confidentielle » désigne toutes les informations qui sont désignées comme confidentielles ou qui devraient raisonnablement être considérées comme confidentielles compte tenu de la nature des informations et des circonstances de la divulgation notamment les termes des présentes ainsi que (y compris les prix), ainsi que les plans commerciaux et marketing, la technologie et les informations techniques, les plans et conceptions de produits, et les processus commerciaux divulgués par ladite partie.

« Numéros Ringover » désigne les numéros de téléphone attribués au Client lors de son Inscription au Service et/ou lors de l’utilisation du Service et/ou les numéros de téléphone attribués aux Utilisateurs par le Client en vertu des Accès.

« Services » désigne l’ensemble des services fournis par RINGOVER GROUP accessible sur la Plateforme tels que décrits en Annexe 1.

« Souscription » désigne le processus par lequel le Client effectue les démarches lui permettant de bénéficier du Service auprès de RINGOVER GROUP ou auprès de l’un de ses distributeurs agréés, apporteurs, revendeurs ou espaces agréés.

« Utilisateur » désigne toute personne autorisée par le Client à utiliser le Service en vertu d’un Accès.

1. Souscription et activation du Service

1.1. Justificatifs d’identité

Le Client s’assure que la personne souscrivant aux Services pour le compte du Client justifie de son identité et de sa capacité à agir et à représenter le Client par la production de justificatifs (tels qu’extrait k-bis, pièce d’identité, pouvoirs etc.). L’Utilisateur doit disposer d’une adresse (postale ou IP) située dans l’Union Européenne lors de l’utilisation effective du Service. Les autorités de régulations peuvent à cette fin exiger des justificatifs de l’identité de l’Utilisateur en fonction du type et de la zone de numérotation du numéro de téléphone choisis lors de l’Inscription. Ces justificatifs devront être fournis par le Client dès la création du Compte Utilisateur. Aucune activation du Service ne sera possible tant que ces justificatifs n’auront pas été fournis. RINGOVER GROUP pourra pas ailleurs refuser l’activation des Services ou y mettre fin en cas de déclaration fausse ou frauduleuse et en l’absence de régularisation dans un délai de huit (8) jours après mise en demeure adressée par RINGOVER GROUP.

1.2. Acceptation et modification des CGV&S

Le Client peut procéder à la Souscription en ligne ou en signant et adressant un Bon de Commande dûment complété par signature électronique. Le Client aura la possibilité de corriger, avant la finalisation de sa Souscription, toute erreur qu’il aurait commise dans le cadre de la saisie des informations le concernant.

1.3. Durée du Contrat

Le présent contrat prend effet à la Date d’Effet et se poursuit jusqu’à ce que toutes les Souscriptions conclues en vertu des présentes aient expiré ou aient été résiliées (la « Durée du Contrat »).

1.4 Durée des Souscriptions

La durée de la Souscription est celle indiquée sur le Bon de Commande correspondant. Les Souscriptions entrent en vigueur à la date de signature du Bon de Commande correspondant (la « Durée de la Souscription »). Les Souscriptions sans engagement sont valables un (1) mois, tacitement renouvelable pour des périodes successives d’un (1) mois. Les Souscriptions avec engagement sont valables pour la durée de l’engagement indiqué sur le Bon de Commande correspondant et renouvelables par tacite reconduction pour des périodes successives de douze (12) mois.

2. Restriction d’utilisation des Services

2.1. Utilisation abusive

RINGOVER GROUP met en place des mesures spécifiques dès lors qu’elle soupçonne des utilisations frauduleuses ou abusives de ses Services. Dès lors, le Client doit s’assurer que chaque Utilisateur ne dépasse pas les limites d’utilisation détaillées aux points 1, 2 et 3 de l’Annexe 4. Par ailleurs, les autres limites et restrictions imposées par RINGOVER GROUP au point 4 de l’Annexe 4 s’appliquent.

2.2. Réglementation applicable

Le Client s’engage à utiliser le Service conformément à toute réglementation locale applicable et s’engage à ne pas utiliser de dispositifs ou logiciels aux fins de perturber ou tenter de perturber le bon fonctionnement du Service, notamment en imposant une charge disproportionnée aux infrastructures de RINGOVER GROUP.

3. Tarifs

3.1. Tarifs applicables

Les tarifs applicables sont ceux en vigueur au moment de la Souscription et correspondent aux prix indiqués sur le Bon de Commande signé par le Client, ou à défaut sur le site www.ringover.fr à la page https://www.ringover.fr/tarifs. Les tarifs ainsi que les conditions particulières applicables sont détaillés au Bon de Commande et en Annexe 3 des présentes. Les tarifs sont libellés en Euros, en Francs Suisses ou en Livres Sterlings Hors taxe selon le lieu d’établissement du Client lors de son Inscription.

3.2. Modification des tarifs

RINGOVER GROUP se réserve le droit de modifier ses tarifs à tout moment. RINGOVER GROUP informera le Client de toute baisse des tarifs. Dans le cas d’une hausse des tarifs, RINGOVER GROUP communiquera au Client les nouveaux tarifs au minimum un (1) mois avant leur entrée en vigueur, par un message envoyé à l’adresse e-mail de contact du Client. L’utilisation continue du Service ou la non-résiliation du Service passé ce délai d’un (1) mois constituera pour le Client une acceptation des nouveaux tarifs. Dans le cas où le Client souhaite résilier son contrat suite à la hausse des tarifs, celui-ci ne sera pas redevable d’indemnités de résiliation anticipée.

Par exception à ce qui est précisé ci-dessus, le Client ne dispose pas de la faculté de résilier le Service lorsque RINGOVER GROUP n’est pas à l’origine de la hausse des tarifs SMS ou des minutes de télécommunications.

Ce sera notamment le cas lorsque celle-ci résulte :

  • d’une modification de la réglementation des télécommunications applicable,
  • de décisions judiciaires et/ou administratives,
  • d’une hausse des tarifs des opérateurs téléphoniques partenaires de RINGOVER GROUP.

Dans ce cas, RINGOVER GROUP notifiera le Client dans les meilleurs délais.

4. Paiement et facturation

4.1. Modes de paiement

Le paiement du Service s’effectue par carte bancaire ou prélèvement bancaire uniquement. Lors de la Souscription, le Client fournit ses coordonnées bancaires et autorise RINGOVER GROUP à prélever automatiquement sur son compte bancaire les sommes dues au titre du Service, conformément aux présentes CGV&S. Les mensualités feront l’objet d’un prélèvement automatique à la date anniversaire de la Souscription. Si le Client opte pour des paiements par prélèvement SEPA, il devra remettre à RINGOVER GROUP un mandat d’autorisation de prélèvement SEPA. Chaque facture transmise au Client, quel que soit le mode de transmission (généralement par voie électronique), précisera que le paiement sera effectué par prélèvement SEPA conformément à la date d’échéance du prélèvement indiquée sur la facture. Il est expressément convenu entre les Parties par dérogation aux règles de l’EPC applicables en matière de paiement par prélèvement SEPA, qu’une notification préalable sera adressée au Client par voie électronique au moins trois (3) jours avant la date effective du prélèvement par le prestataire de prélèvement bancaire de RINGOVER GROUP. Si le Client opte pour des paiements par prélèvement UK Direct Debit en livre sterling, il devra remettre à RINGOVER GROUP un mandat d’autorisation UK Direct Debit, lequel comportera les informations relatives à chacun de ces prélèvements. Chaque facture transmise au Client, quel que soit le mode de transmission (généralement par voie électronique), précisera que le paiement sera effectué par prélèvement UK Direct Debit conformément à la date d’échéance du prélèvement indiquée sur la facture. Il est expressément convenu entre les Parties qu’une notification préalable sera adressée au Client par voie électronique au moins trois (3) jours avant la date effective du prélèvement par le prestataire de prélèvement bancaire de RINGOVER GROUP. Tout changement relatif aux modalités de prélèvement UK Direct Debit fera l’objet d’une notification préalable adressée au Client au moins trois (3) jours ouvrés avant ledit prélèvement.

4.2. Numéros de services à valeur ajoutée

Dans les cas où le Client se verrait attribuer des numéros de services à valeur ajoutée donnant lieu à des reversements au Client, ce dernier doit accepter les termes du contrat-cadre de service de paiement de Lemon Way tel qu’il figure (et tel qu’il pourra être modifié) sur le site de Lemon Way : https://www.lemonway.com/conditions-generales-dutilisation. La relation contractuelle en découlant est exclusivement conclue entre le Client et Lemon Way ; RINGOVER GROUP n’est pas partie à cette relation contractuelle.

Toutefois, certains numéros spéciaux ne peuvent être acheminés.

Conformément à l’article L.224-43 du code de la consommation, le Client s’engage à fournir à RINGOVER GROUP le nom du produit ou du service accessible au numéro de services à valeur ajoutée attribué, la description du produit ou du service, le nom du fournisseur, son site internet, s’il existe, l’adresse du fournisseur ainsi que l’adresse ou le numéro de téléphone auxquels le consommateur peut adresser ses réclamations. Toute modification de ces informations devra faire l’objet d’une notification préalable par le Client à RINGOVER GROUP dans les meilleurs délais.

RINGOVER GROUP se réserve le droit de suspendre l’accès au numéro de services à valeur ajoutée puis de résilier le Contrat en cas de réitération, dans les cas suivants :

  • Si une ou plusieurs informations devant figurer par exemple sur https://www.infosva.org sont absentes, inexactes, obsolètes ou incomplètes ;
  • Si aucun produit ou service réel n’est associé à ce numéro ;
  • Si le produit ou service associé à ce numéro fait partie de ceux exclut au titre des recommandations déontologiques SVA de l’AF2M.

4.3. Facturation et délais de paiement

Les factures sont payables terme à échoir et établies mensuellement à la date anniversaire de la Souscription. En cas d’ajout d’Utilisateurs supplémentaires, les abonnements correspondant seront facturés au prorata jusqu’à la prochaine date anniversaire de l’abonnement initial. RINGOVER GROUP se réserve le droit d’effectuer le paiement par Carte Bancaire ou prélèvement (hors prélèvement SEPA ou UK Direct Debit dont les régimes sont précisés à l’article 4.1 ci-dessus) dans un délai de 30 jours à compter de la date d’émission de la facture. Le Client peut accéder à sa facture dans son espace client sur le site Ringover.fr.

4.4. Pénalités de retard

Des pénalités de retard seront dues de plein droit en cas de retard de paiement. Le taux d’intérêt applicable pour le calcul des pénalités sera le taux directeur semestriel de la Banque Centrale Européenne en vigueur au 1er janvier ou 1er juillet, majoré de 10 points. Une indemnité forfaitaire de 40 € sera également due pour frais de recouvrement à l’occasion de tout retard de paiement conformément aux articles L. 441-10 et D. 441-5 du Code de commerce, étant précisé que RINGOVER GROUP se réserve la possibilité de réclamer une indemnisation complémentaire en cas de recours à un professionnel chargé des relances, mises en demeure et de façon général du recouvrement de ses créances. En cas de rejet d’un prélèvement bancaire/SEPA/UK Direct Debit imputable au Client, une somme supplémentaire de 10 € HT ou de 10 £ HT en fonction du mode de prélèvement choisi, sera prélevée sur son compte bancaire lors de la prochaine tentative de prélèvement.

4.5. Contestations

En cas de contestation à l’égard des sommes facturées par RINGOVER GROUP pour l’utilisation du Service, le Client doit envoyer une demande depuis https://support.ringover.com dans les trente (30) jours suivant la date d’émission de la facture, en indiquant le numéro de facture sur laquelle porte la contestation. Le Client reste tenu du paiement dans l’attente d’une issue. En cas de réduction de la facture contestée, RINGOVER GROUP émettra un avoir au profit du Client qui viendra en déduction de la facture suivante après accord entre les deux Parties.

5. Obligations des Parties

5.1. Obligations de RINGOVER GROUP

RINGOVER GROUP s’engage à fournir le Service conformément aux présentes CGV&S, à l’Annexe 1 (Description des Services), au Bon de Commande, à l’Annexe 5 (Niveau de Service), aux termes d’une obligation de moyens. Les Services seront fournis sans tenir compte de l’utilisation particulière des Services par le Client, et sous réserve que le Client se conforme aux obligations et restrictions prévues aux présentes CGV&S.

5.2. Obligations du Client

Sous peine de résiliation du Contrat, le Client s’engage à (i) payer les Services facturés conformément à l’article 4 des présentes, (ii) coopérer avec RINGOVER GROUP et notamment, sans limitation, à fournir l’ensemble des informations requises par RINGOVER GROUP aux fins de fourniture du Service et à informer RINGOVER GROUP de toute modification concernant son adresse ou son identité. Le Client est par ailleurs responsable de la conservation, de la confidentialité et de l’utilisation des éléments d’identification. A ce titre, si le Client a des raisons de penser qu’une personne utilise ses éléments d’identification ou son compte, il devra en informer immédiatement RINGOVER GROUP et modifier son mot de passe, sachant que RINGOVER GROUP ne pourra pas être tenue responsable en cas de divulgation à des tiers de ces données. Le Client est responsable de l’utilisation des Services, y compris par les Utilisateurs, conformément à la réglementation applicable. Il est de la responsabilité exclusive du Client d’informer l’ensemble des Utilisateurs sur les spécificités du service liées aux appels d’urgence, notamment en cas d’utilisation en dehors de la localisation géographique indiquée lors de la Souscription.

6. Responsabilité

6.1. Contenu du Client

RINGOVER GROUP n’exerce aucun contrôle sur le Contenu du Client et ne sera donc pas responsable de la nature ou de la teneur du Contenu du Client et de l’utilisation que le Client fait des Services. Il est notamment précisé que le Client indemnisera RINGOVER GROUP en cas de demande ou procédure initiées par un tiers à l’encontre de RINGOVER GROUP alléguant que l’utilisation du Service par le Client est frauduleuse ou abusive ou résulterait de toute autre manière en une violation de la loi applicable ou aux droits de tiers. Il est précisé que cette indemnité couvre notamment tous les frais de justice, indemnités versées et honoraires d’avocat.

6.2. Qualité et disponibilité du Service

RINGOVER GROUP s’engage à fournir les services aux termes de l’article 5.1. Il est précisé que la qualité de la communication dans le cadre de l’utilisation du Service dépend de la qualité de la connexion internet sur laquelle l’Utilisateur accède aux Services et sur laquelle RINGOVER GROUP n’exerce aucun contrôle. RINGOVER GROUP ne peut en aucun cas être tenue responsable en cas de perturbation du Service résultant de la connexion internet sur laquelle l’Utilisateur accède aux Services. Par ailleurs, RINGOVER GROUP ne garantit pas l’exactitude des informations obtenues ou transmises dans le cadre de l’utilisation des Services. Il est précisé que le Service pourra être momentanément interrompu pour cause de maintenance, de mises à jour ou d’améliorations techniques, ou pour en faire évoluer le contenu et/ou la présentation du Service.

6.3. Exclusion de responsabilité

RINGOVER GROUP ne pourra être tenu pour responsable d’un manquement dans l’exécution des Services résultant d’un manquement du Client aux termes de l’article 5.2 des présentes ou de l’intervention d’un tiers autre qu’un sous-traitant de RINGOVER GROUP. RINGOVER GROUP ne pourra par ailleurs être tenu responsable en cas de préjudice d’ordre financier résultant d’une perte économique, du coût des services de remplacement, d’une perte de bénéfices, d’une perte de chiffre d’affaires, d’une perte de commandes, d’une perte de clientèle, d’une perte ou altération du Contenu du Client et/ou d’une perte résultant d’une atteinte à l’image ou à la réputation, que ces pertes résultent d’un dommage direct ou indirect. Par ailleurs, et en tout état de cause, RINGOVER GROUP ne sera pas responsable en cas de préjudice qui n’était pas prévisible lors de la conclusion du contrat et qui ne constitue pas une suite immédiate et directe de l’inexécution de ce contrat.

6.4. Limitation de responsabilité

Sans préjudice des exclusions de responsabilité prévues aux articles 6.1 à 6.3 ci-dessus, en aucun cas la responsabilité de chacune des parties découlant de l’exécution du Contrat ou s’y rapportant ne dépassera le montant total payé par le Client en vertu du Bon de Commande donnant lieu à la responsabilité au cours des douze mois précédant le premier fait générateur de responsabilité. La présente limitation de responsabilité ne s’applique en aucun cas aux obligations de paiement du Client.

7. Confidentialité

7.1. Obligation de confidentialité

La partie réceptrice d’une Information Confidentielle doit pendant la Durée du Contrat et pour une période de dix (ans) après sa résiliation ou son expiration, maintenir la confidentialité de toutes les Informations Confidentielles de la partie divulgatrice qu’elle reçoit, et la partie réceptrice s’abstiendra d’utiliser les Informations Confidentielles de la partie divulgatrice autrement que dans la mesure nécessaire pour remplir ses obligations contractuelles. Chaque partie s’engage à sécuriser et à protéger les Informations Confidentielles de l’autre partie avec le même degré de soin que pour la protection de ses propres Informations Confidentielles et doit s’assurer que ses employés s’engagent à maintenir un même niveau de confidentialité. Il est précisé que les Informations Confidentielles n’incluent pas les informations qui sont ou deviennent connues du public sans violation des termes du présent Contrat ou étaient connues de la partie réceptrice avant leur divulgation par la partie divulgatrice sans violation des termes du présent Contrat.

7.2. Divulgation forcée

La partie réceptrice peut néanmoins divulguer les Informations Confidentielles de la partie divulgatrice dans la mesure où la loi ou toute procédure judiciaire ou administrative l’y contraint, à condition que la partie réceptrice informe préalablement la partie divulgatrice d’une telle obligation (dans la mesure où la loi le permet).

8. Suspension

8.1. Utilisation abusive

En cas d’utilisation en violation des restrictions prévues à l’article 2.1, RINGOVER GROUP sera en mesure de suspendre le forfait avec appels illimités pendant une durée de sept (7) jours. RINGOVER GROUP avertira le Client d’une telle suspension. À l’issue de ce délai, et si le Client n’a pas remédié à la situation, RINGOVER GROUP se réserve le droit de résilier le Service de plein droit.

8.2. Manquement aux obligations de paiement

En cas de rejet du paiement par la banque ou refus de paiement de la part du Client, et quel que soit le moyen de paiement choisi, RINGOVER GROUP procédera à une seconde tentative de paiement à l’issue d’un délai de soixante-douze (72) heures à compter de ce rejet, et à une troisième tentative, le cas échéant, à l’issue d’un délai de soixante-douze (72) heures à compter de la seconde tentative. En cas de rejet lors de la troisième tentative, RINGOVER GROUP suspendra immédiatement le Service. Il est expressément indiqué que les factures non réglées restent dues et que RINGOVER GROUP se réserve le droit de procéder au recouvrement forcé de ses créances.

8.3. Absence de remboursement

Les comptes suspendus par RINGOVER GROUP ne donneront droit à aucun remboursement ou crédit sur la période de suspension.

9. Résiliation

9.1. Résiliation d’une Souscription à l’initiative du Client

9.1.1. Clients domiciliés en France

Abonnement mensuel : Le Client peut résilier le contrat avec un préavis minimum d’un mois avant la date anniversaire mensuelle de son abonnement en envoyant une demande de résiliation depuis https://support.ringover.com. La date effective de résiliation interviendra le mois suivant la résiliation à la date anniversaire mensuelle de son abonnement. Les crédits déjà achetés ne seront pas remboursés. Le Client peut également résilier, à tout moment, les Accès correspondant aux Comptes Utilisateurs de son choix depuis son espace client, sans pouvoir prétendre à un quelconque remboursement de la part de RINGOVER GROUP.

Abonnement annuel : En cas de Souscription à une offre avec engagement de durée, le Client a la faculté de dénoncer son engagement, par la personne ayant autorité pour administrer le Compte, en envoyant une demande de résiliation depuis https://support.ringover.com au moins trois (3) mois avant le terme de la Durée de la Souscription. En cas de résiliation anticipée avant la Durée de Souscription alors en cours, le Client sera redevable d’indemnités de résiliation anticipée dont le montant sera égal au montant de la dernière facture de l’abonnement multiplié par le nombre de mois restant à courir jusqu’à la fin de la Durée de Souscription alors en cours. En cas de résiliation anticipée dans le délai d’un (1) mois, suite à une hausse des tarifs résultant d’une modification à l’initiative de RINGOVER GROUP, tel que décrit à l’article 3.2 des présentes, le Client ne sera pas redevable de ces indemnités.

9.1.2. Clients internationaux (domiciliés en dehors de la France)

Abonnement mensuel : Le Client peut résilier le contrat avec un préavis minimum d’un mois avant la date anniversaire de son abonnement en envoyant une demande de résiliation depuis https://support.ringover.com.

Abonnement annuel : En cas de souscription à une offre avec engagement de durée, le Client a la faculté de dénoncer son engagement en envoyant une demande de résiliation depuis https://support.ringover.com adressée au moins trois (3) mois avant le terme de la période initiale ou renouvelée. Toutes les factures et frais récurrents doivent être réglés jusqu’à la date de résiliation. En cas de résiliation anticipée, le Client sera redevable d’indemnités de résiliation anticipée dont le montant sera égal au montant de la dernière facture de l’abonnement multiplié par le nombre de mois restant à courir jusqu’à la fin de la période d’engagement initial ou de la période de tacite reconduction. Il en sera de même en cas de résiliation du Service à l’initiative de RINGOVER GROUP du fait de facture impayée. En cas de résiliation anticipée dans le délai d’un (1) mois, suite à une hausse des tarifs résultant d’une modification à l’initiative de RINGOVER GROUP, tel que décrit à l’article 3.2 des présentes, le Client ne sera pas redevable de ces indemnités.

9.2. Résiliation pour cause

9.2.1. Manquements significatifs

Chacune des Parties pourra résilier le présent Contrat ou un Bon de Commande en cas de manquement significatif de l’autre Partie à une obligation essentielle du présent Contrat sur notification écrite de trente (30) jours à l’autre partie d’une telle violation et s’il n’est pas mis fin au manquement reproché dans ce délai. Sont notamment considérées comme des obligations substantielles les obligations contenues aux articles 2 (Restrictions d’Utilisation), et 5 (Obligation des Parties).

9.2.2. Procédure collective

Dans la mesure autorisée par la loi et sauf si l’administrateur désigné en décide autrement, les Parties pourront également immédiatement et sur notification écrite résilier le présent Contrat si l’autre partie fait l’objet d’une procédure de liquidation ou de redressement judiciaire (ou toute autre procédure similaire).

9.2.3. Indemnités

En cas de résiliation du Contrat ou d’un Bon de Commande à l’initiative de RINGOVER GROUP du fait de facture impayée, le Client sera redevable à RINGOVER GROUP d’indemnités dont le montant sera égal au montant de la dernière facture multiplié par le nombre de mois restant à courir jusqu’à la fin de la période d’engagement initial ou de la période de tacite reconduction pour le(s) Bon(s) de Commande concerné.

10. Portabilité

10.1. Portabilité entrante

Sous réserve d’éligibilité technique, lors de la Souscription au Service, le Client a la possibilité de porter un ou des numéros de téléphone existants. Le Client déclare être le titulaire légitime des numéros de téléphone dont il sollicite la portabilité. Le Client déclare être informé que la portabilité de son numéro entraîne la résiliation de sa ligne précédente ainsi que l’arrêt des services associés initialement au numéro porté. En cas d’arrêt des services associés, RINGOVER GROUP ne pourra pas être tenu pour responsable. Si le Client souhaite demander une nouvelle portabilité vers son opérateur d’origine, il devra le signaler à RINGOVER GROUP avant la date de réalisation effective de la portabilité de son numéro précédent. La demande de portabilité du numéro du Client ne sera initiée par RINGOVER GROUP qu’à réception de la totalité des documents demandés lors de l’inscription au Service. Tout dossier incomplet rendra impossible le lancement de la demande de portabilité. La réalisation de la portabilité du numéro du Client dépend en partie de l’opérateur de la ligne du Client. À ce titre, en cas de non-respect des délais annoncés de portabilité, la responsabilité de RINGOVER GROUP ne saurait être engagée. Les portabilités entrantes sont réalisées du lundi au vendredi sur un horaire technique imposé par les opérateurs d’infrastructures, lequel sera communiqué au préalable au Client. Toute demande de portabilité entrante en dehors de ces créneaux horaires de la part du Client, si elle est acceptée par RINGOVER GROUP, fera l’objet d’une facturation supplémentaire au Client. La date de début de l’engagement sera entendue comme étant le premier jour de la période facturée tel qu’indiqué sur la première facture.

10.2. Portabilité sortante

En cas de clôture de son compte Ringover pour quelque raison que ce soit, le Client accepte que le numéro d’appel puisse être attribué passé un délai de six (6) mois à un autre Client ou pour un autre Service. Le Client pourra cependant conserver son Numéro Ringover en cas de demande de portabilité sortante vers un autre opérateur. Cette demande devra être effectuée par le nouvel opérateur du Client au minimum trente (30) jours calendaires avant la fin de la période de la Souscription. Une fois la période de Souscription du Client révolue ou la Souscription résiliée, aucune demande de portabilité ne pourra être prise en compte. La demande de portabilité par le nouvel opérateur entraînera la résiliation automatique de la ligne portée et de tous les services associés. Pour que la portabilité sortante du Numéro Ringover soit acceptée, le Client doit avoir justifié lors de l’activation du Numéro Ringover d’une adresse locale valide dans la zone géographique du Numéro Ringover concerné. En cas d’impossibilité technique de réaliser la portabilité sortante du Numéro Ringover ou en cas de dysfonctionnement ultérieur à la portabilité sortante du Numéro Ringover, la responsabilité de RINGOVER GROUP ne saurait être engagée.

11. Propriété intellectuelle

11.1. Droits de RINGOVER GROUP

L’ensemble des droits, y compris droits de propriété intellectuelle et industrielle notamment les droits d’auteur, marques et brevets ainsi que les noms de domaines, les secrets d’affaires, le savoir-faire portant sur le contenu des Services et les Services appartiennent à RINGOVER GROUP et les présentes CGV&S n’entraînent aucun transfert de droits de propriété sur les Services et leur contenu. Le Client dispose aux termes des présentes CGV&S du droit d’utiliser les Services pendant la durée de sa Souscription.

11.2. Droits du Client

Le Client demeure propriétaire du Contenu du Client et doit disposer des droits nécessaires sur le Contenu du Client. Le Client accorde par la présente à RINGOVER GROUP pour la durée des droits éventuels portant sur le Contenu Client, une licence non exclusive, libre de redevance et mondiale, d’utilisation du Contenu du Client afin de fournir les Services au Client ou toute autre action requise aux termes des présentes CGV&S. Le Client est seul responsable de l’exactitude, de la qualité, de l’intégrité, de la légalité, de la fiabilité et de l’adéquation du Contenu du Client. Le Client accorde par ailleurs une licence non exclusive, libre de redevance et mondiale à RINGOVER GROUP d’utilisation les marques du Client à des fins de promotion de son activité et dans des campagnes publicitaires sur tout support de communication.

Le Client et l’Utilisateur feront leur affaire personnelle des droits et obligations envers les sociétés de gestion des droits d’auteurs, compositeurs, éditeurs, producteurs et autres ayant droits, traitant notamment des musiques d’attente téléphonique, y compris celles mises à disposition par le Service. RINGOVER GROUP exclut expressément toute responsabilité à ce titre.

12. Données personnelles

Dans la mesure où le Contenu du Client fourni à RINGOVER GROUP contiendrait des données à caractère personnel telles que définies dans le Règlement général sur la protection des données (Règlement (UE) 2016/679) (« RGPD ») (« Données personnelles »), les Parties conviennent que le présent Accord est soumis au RGPD ainsi que toute autre loi applicable relative à l’utilisation, la collecte, la conservation, le stockage, la sécurité, la divulgation, le transfert ou tout autre traitement des Données personnelles. Si la fourniture des Services par RINGOVER GROUP entraîne le traitement de Données personnelles soumises aux dispositions du RGPD, les Parties conviennent de signer l’addendum de RINGOVER GROUP relatif au traitement des données (« DPA »), qui sera incorporé au présent Contrat et en fera partie intégrante.

13. Divers

13.1. Divisibilité

Si une ou plusieurs dispositions des présentes CGV&S sont considérées non valides ou non applicables pour quelque raison que ce soit en application d’une loi, d’un règlement ou à la suite d’une décision de justice, les autres dispositions resteront applicables.

13.2. Clause de survie

Les articles 4, 6, 7, 9, 11 et 13 survivront à toute résiliation ou expiration du présent Contrat.

13.3. Modifications

Les Services évoluent constamment afin d’améliorer leur utilisation par le Client. Par conséquent, et du fait de ces évolutions, les présentes CGV&S et les modalités d’utilisation des Services peuvent être amenées à évoluer. Elles peuvent également être amenées à évoluer en fonction de la réglementation applicable. RINGOVER GROUP notifiera le Client de toute modification un (1) mois avant la date d’effet de la modification. En cas de modifications affectant de manière significative les droits et/ou obligations du Client ou l’utilisation des Services par le Client, le Client devra accepter la modification ou, s’il ne l’accepte pas, résilier sa Souscription au Service concerné. Il est précisé qu’aucune résiliation ne pourra avoir lieu si les changements intervenus sont imposés par la réglementation et/ou s’ils n’affectent pas négativement les éléments substantiels du Service. Il est précisé que seule la dernière version à jour du Service sera disponible.

13.4. Force majeure

En cas de force majeure, la responsabilité des parties quant à l’exécution ou le retard d’exécution de l’une ou de plusieurs obligations contenues dans le présent contrat ne pourra être engagée. Il est précisé que le présent article ne s’applique pas aux obligations de paiement. Sont considérés comme cas de force majeure ceux habituellement retenus par les juridictions françaises et notamment sans que cette liste soit limitative, les intempéries exceptionnelles, les catastrophes naturelles (notamment foudre, inondation, incendie), les phénomènes d’origine électromagnétique ou électrique perturbant les réseaux, les saturations de réseau, les restrictions légales à la fourniture de services de télécommunications outre les événements ayant déclenchés l’application de plans locaux ou nationaux de maintien de la continuité des services de télécommunications.

13.5. Ordre de prévalence

Le présent Contrat constitue l’intégralité de l’accord entre RINGOVER GROUP et le Client concernant l’utilisation par le Client des Services et remplace tous les accords, propositions ou déclarations écrits ou oraux, concernant son objet. En cas de conflit ou d’incohérence entre les documents suivants, l’ordre de prévalence par ordre décroissant est le suivant : (1) le Bon de Commande applicable, (2) toute annexe au présent Contrat, (3) le corps du présent Contrat.

13.6. Cession

RINGOVER GROUP a le droit de céder le présent contrat notamment mais sans s’y limiter en cas de cession ou de transfert de tout ou partie de son activité et/ou de ses actifs. Le Client devra solliciter et obtenir l’accord préalable écrit de RINGOVER GROUP afin de pouvoir céder ou transférer le présent contrat.

13.7. Langue

Ces CGV&S sont disponibles en plusieurs langues, il est entendu qu’en cas de conflit sur l’interprétation des dispositions entre les différentes versions, la version française prévaudra.

13.8. Droit applicable et juridictions compétentes

Le présent accord, ainsi que tout litige découlant des présentes ou s’y rapportant, sera régi exclusivement par le droit français. Les tribunaux compétents du ressort de la Cour d’Appel de Paris en France auront la compétence exclusive pour tout litige relatif au présent accord, et chaque partie consent à la compétence exclusive de ces tribunaux.

Annexe 1 – Description des Services RINGOVER

Ringover est un service de téléphonie sur internet (VoIP) destiné aux professionnels, qui permet aux collaborateurs d’une société de recevoir et de passer des appels téléphoniques directement depuis un navigateur internet (sans logiciel à installer), une application mobile ou un téléphone SIP.

Ringover permet aussi de transférer automatiquement les appels à destination du Numéro Ringover sur un numéro de téléphone fixe ou mobile et de recevoir et d’envoyer des fax, dans les conditions définies ci-après.

Les numéros mobiles attribués par Ringover au Client sont accessibles uniquement à partir d’un accès mobile (téléphone mobile, modem 3G/4G/5G, etc.).

Le Service Ringover pourra être utilisé pour passer des appels d’urgence (112) sous réserve que le pays concerné soit éligible et que le Client ait transmis à RINGOVER GROUP des justificatifs de sa localisation géographique. Étant entendu que le service d’appel d’urgence n’est pas assuré depuis les numéros mobiles.

Sous réserve d’activation, le service Ringover peut être utilisé pour passer des appels d’urgence locaux (112, 17, 18, 115…) mais il est rappelé au Client que les appels d’urgence effectués via Ringover ont une spécificité qui tient au fait que ces communications peuvent ne pas être acheminées en cas d’interruption du service voix sur IP et qu’il existe un risque de redirection de l’appel vers un centre d’appel d’urgence inapproprié et d’envoi des services de secours sur un mauvais lieu puisque par définition Ringover ignore la localisation exacte de la personne composant le numéro d’urgence.

Le service de transfert vers un numéro externe est payant selon la destination (ex sur un numéro français de 0.03euros/min).

Pour utiliser le service fax, il faut un numéro dédié (à 5 euros HT/mois) associé à votre utilisateur qui recevra le document sur sa boite mail. Concernant l’envoi de fax, cela se fait via l’interface Ringover dans le menu dédié.

Le service client et le service support sont joignables par téléphone ou par email du lundi au vendredi de 9h à 18h et le samedi de 9h30 à 13h30.

Le Client peut également souscrire à des options payantes, exclues du prix de l’abonnement, directement sur le Dashboard. Les options choisies seront facturées à compter du mois suivant la souscription de celles-ci. Certaines options pourront être attribuées à un Accès. Dans ce cas, pour les clients engagés, lorsque l’Accès sera supprimé, l’option sera également résiliée, pour les clients non engagés, ceux-ci auront la possibilité de supprimer l’option à tout moment.

Pour les Clients qui ont souscrit au pack SMART, un maximum de 500 contacts distincts par mois s’applique pour les appels sortants.

Annexe 1 bis – Description des Services Cadence

RINGOVER GROUP propose à ses Clients le Service Cadence, un outil de prospection multicanal qui permet de regrouper en une plateforme l’ensemble des échanges (SMS, mails, appels, messages LinkedIn, …) de l’Utilisateur avec ses prospects et de suivre l’ensemble des actions réalisées lors de la prospection.

Les principales fonctionnalités sont les suivantes :

  • Création et gestion de séquences de prospection multicanales (mail, SMS, appels, messages LinkedIn…).
  • Liste automatique de tâches quotidiennes pour chaque utilisateur et la possibilité de les réaliser directement depuis l’interface Cadence.
  • Intégration avec un CRM (liste disponible à https://www.ringover.fr/cadence/integrations).
  • Intégration avec les outils de l’Utilisateur : outil de messagerie, extension LinkedIn, outil d’enrichissement de données…
  • Dashboard de statistiques.
  • Collection de templates.

Annexe 1 ter – Description des Services Empower

RINGOVER GROUP propose à ses Clients le Service Empower, un outil de transcription exploitant une Intelligence Artificielle qui permet d’analyser vos appels et de tirer pleinement parti de votre historique d’appels.

Les principales fonctionnalités sont les suivantes :

  • Vue d’ensemble de chacun des audios avec détails.
  • Résumé des appels réalisé par OpenAI.
  • Analyse et transcription par écrit des audios.
  • Analyse de l’humeur du client au cours de l’appel.
  • Recherche de mots clés dans la transcription.
  • Dashboard de statistiques des appels avec filtres (temps de parole, interruption, blancs dans la conversation, monologue…).
  • Traduction des appels en 3 langues (français, anglais et espagnol).
  • Conseils sur les audios pour améliorer vos futurs échanges.

Annexe 2 – Prérequis techniques

Avant de s’abonner, le Client doit s’assurer que son opérateur téléphonique/internet ou son administrateur réseau lui offre la possibilité de recevoir et de passer des appels téléphoniques directement depuis les navigateurs internet Firefox (Version minimum 80) ou Chrome (version minimum 80), une application mobile ou un téléphone SIP. À défaut, l’utilisation du Service est impossible.

Il est de la responsabilité du Client de s’assurer que l’installation mise à la disposition des Utilisateurs bénéficient des caractéristiques suivantes :

  • une connexion Internet de bonne qualité, avec un débit suffisant par Utilisateur ;
  • de la priorisation des flux voix sur les flux données sur son réseau ;
  • de l’utilisation d’un équipement d’accès respectant l’intégrité des messages SIP ;
  • l’ouverture des flux vers les ports 443/tls, 5060/udp, 5060/tcp et de 20000-22000/udp pour les RTP ;
  • d’avoir une mémoire vive au moins égale à 6 Go ;
  • de l’utilisation des codecs par ordre de préférence : OPUS, G711 (PCMA, PCMU).

RINGOVER GROUP attire particulièrement l’attention du Client sur le fait que le protocole MRCP n’est pas supporté.

L’accessibilité au Service est uniquement possible depuis les dernières versions des navigateurs internet Chrome et Firefox. Pour une utilisation optimale, RINGOVER GROUP recommande de toujours utiliser la dernière version du navigateur utilisé.

Annexe 3 – Conditions particulières et Tarifs

Les tarifs de l’abonnement sont accessibles sur le Bon de Commande applicable ou depuis la page https://wwww.ringover.fr/tarifs.

1. Type de forfait selon la Souscription choisie

Lors de la Souscription, le Client a la possibilité, sous réserve d’être éligible, d’opter pour un Accès comprenant des appels illimités ou pour un Accès facturé à la consommation :

  • En cas de Souscription d’Accès avec appels illimités, l’ensemble des Utilisateurs rattachés au Compte Client en vertu des Accès achetées par ce dernier bénéficie d’un forfait d’appels et d’envoi de fax illimité vers les destinations accessibles à l’url suivante https://www.ringover.fr/tarifs ou à la page du Bon de Commande “Tarifs des appels” et ci-après désignées sous le terme “Zone 1” ou "Inclus". Les opérateurs téléphoniques de certains pays Européens (Espace Économique Européen et Suisse) surtaxent les appels en fonction du pays d’origine de l’appel.
    Par conséquent, pour bénéficier des appels illimités vers les destinations de l’Espace Économique Européen Inclus dans le forfait, l’Utilisateur doit appeler en présentant un numéro de téléphone de l’un des pays membres de l’Espace Économique Européen. Si l’Utilisateur présente un autre type de numéro de téléphone pour appeler vers une destination de l’Espace Économique Européen, l’appel sera alors facturé au tarif indiqué à l’url suivante : https://www.ringover.fr/tarifs.
    De même, pour bénéficier des appels illimités vers la Suisse Inclus dans le forfait, l’Utilisateur doit appeler en présentant un numéro de téléphone de Suisse. Si l’Utilisateur présente un autre type de numéro de téléphone pour appeler vers la Suisse, l’appel sera alors facturé au tarif indiqué à l’url suivante : https://www.ringover.fr/tarifs.
    Le forfait avec appels illimités est destiné à un usage traditionnel de téléphonie d’entreprise, dans le cadre d’une conversation interpersonnelle entre deux personnes physiques. Les professionnels des télécommunications (opérateurs téléphoniques, centre d’appels, téléboutiques, sociétés de téléprospections…) ne sont pas éligibles au forfait avec appels illimités. Par ailleurs, pour tout numéro mobile non issu du plan de numérotation de l’ARCEP, seul le trafic interpersonnel national est assuré.
  • Pour pouvoir passer ou recevoir des appels non compris dans ce forfait illimité, le Client doit au préalable acheter des crédits de communications (prépayés), qui seront utilisables par l’ensemble des Utilisateurs. Ces crédits valables pendant toute la Durée de la Souscription, sont non remboursables, non échangeables et non transférables à un autre Compte Client.

L’ajout de tout nouvel Accès et/ou de tout nouveau Numéro Ringover en cours de contrat donnera lieu à facturation de frais supplémentaires qui seront calculés sur la base des tarifs indiqués sur le Bon de Commande ou sur le site www.ringover.fr à la page https://www.ringover.fr/tarifs.

La suppression d’un Numéro Ringover associé à un Compte Ringover avec Souscription sans engagement se fera gratuitement. La suppression d’un Numéro Ringover associé à un Compte Ringover avec Souscription sous engagement entraînera la facturation d’un montant égal à six (6) mois de tarification pour ledit Numéro Ringover. En revanche, la suppression du Numéro lors d’une affectation avant sa portabilité ou durant la période de test se fera gratuitement pour les Clients sous Souscription avec ou sans engagement.

2. Conditions applicables à l’envoi de SMS

Le Service ne permet pas d’envoyer des SMS+, des SMS surtaxés et des SMS à destination de l’international. Par ailleurs, un SMS compte au maximum 160 caractères lorsqu’il est composé de caractères standards à 7 bits, et de 70 caractères lorsqu’il est composé de caractères Unicode. Le SMS sera facturé au tarif indiqué à l’url suivante :https://wwww.ringover.fr/tarifs.

3. Dépassement de forfait

En cas de dépassement du forfait les appels seront facturés à la seconde, selon nos tarifs en vigueur (à titre d’exemple : pour la France Fixe : trois centimes d’euros HT (0,03 € HT) par minute). En cas d’appels non compris dans le forfait illimité, le Service fera l’objet d’une facturation à la seconde dès la première seconde, sauf dans le cas des appels vers les numéros spéciaux.

4. Engagement de volume

Le Client s’engage à ne pas diminuer le volume des Accès engagés souscrits au cours de la durée totale du Contrat (qu’il s’agisse du nombre d’Accès souscrits sur le bon de commande initial ainsi que tous les Accès ajoutés au cours de l’exécution du Contrat).

5. Révision annuelle

Abonnement annuel : RINGOVER GROUP se réserve le droit d’augmenter le tarif des Accès et des Numéros Ringover inclus jusqu’à six pourcent (6%) par an à l’issu de l’engagement initial ou renouvelé.

Abonnement mensuel : RINGOVER GROUP se réserve le droit d’augmenter le tarif des Accès et des Numéros Ringover inclus jusqu’à six pourcent (6%) par an à compter de la date anniversaire de la signature du Bon de Commande.

Le Client pourra prendre contact avec [email protected] au moins trois (3) mois avant la date de renouvellement de l’engagement ou la date anniversaire de la signature du Bon de Commande s’il souhaite négocier les conditions et/ou modalités d’application de la révision annuelle des tarifs.

6. Options payantes

La liste des options payantes, exclues du prix de l’abonnement, est disponible sur le lien suivant : https://www.ringover.fr/tarifs-add-ons.

Annexe 4 – Limites d’utilisation du Service

1. Limite pour les appels courts

Afin d’empêcher les appels massifs de spam et de robocalling à partir du Service, le Client doit s’assurer qu’en moyenne l’ensemble des Utilisateurs n’effectuent quotidiennement pas plus de 60 appels sortants (aboutis ou non) par Utilisateur d’une durée inférieure à 15 secondes. Si la moyenne des Utilisateurs du compte atteint ce seuil trois fois ou plus au cours d’un mois, RINGOVER GROUP se réserve le droit de suspendre et/ou de résilier le Service.

2. Dépassement du taux moyen d’utilisation du Service

Pour chaque Utilisateur, au cours d’une période de temps déterminée, le taux d’utilisation du Service est la proportion du temps pendant lequel l’Utilisateur est en communication avec les correspondants qu’il a appelés en utilisant le Service. Ainsi, on entend par taux moyen d’utilisation du Service la moyenne du taux d’utilisation du Service observée sur un ensemble d’Utilisateurs, au cours d’une période de temps déterminée.

L’utilisation du forfait avec appels illimités est considérée comme raisonnable lorsque le taux moyen d’utilisation du Service observé sur l’ensemble des Utilisateurs rattachés au Compte Client est inférieur à cinq fois le taux moyen d’utilisation du Service tel qu’observé sur la base client de RINGOVER GROUP bénéficiant d’un forfait avec appels illimités au cours des six derniers mois.

3. Limites liées à l’envoi de SMS

Dans les pays éligibles, l’Utilisateur peut bénéficier d’un Numéro Ringover de téléphone mobile réservé uniquement à un usage interpersonnel. La réception de SMS d’applications sur un Numéro Ringover de téléphone mobile n’est pas garantie.

Le nombre de SMS envoyés moins le nombre de SMS reçus est supérieur à cent, ou si le nombre de SMS envoyés sur les 30 derniers jours est supérieur à trois mille, ou si sur les 30 derniers jours le volume d’appels reçus sur le numéro mobile est supérieur à trois mille minutes, ou si sur les 30 derniers jours, le nombre de numéros différents vers lesquels les SMS sont envoyés est supérieur à cinq cent (500).

4. Autres restrictions

Le Compte Utilisateur de chaque Utilisateur n’est utilisable que par cet Utilisateur, depuis le navigateur web de son ordinateur personnel ou depuis son téléphone IP personnel.

Le partage et l’usage mutualisé du Compte Utilisateur ne sont pas autorisés. En particulier, l’utilisation du Compte Utilisateur comme fournisseur de collecte et/ou de terminaison d’appels n’est pas autorisée et il est notamment interdit d’utiliser le Service pour recevoir ou émettre des appels avec un commutateur téléphonique, un standard téléphonique, un automate d’appel ou un logiciel de téléphonie. Le Compte utilisateur est limité à un seul appel simultané par Utilisateur. Sur option payante, un Utilisateur peut bénéficier de canaux d’appels supplémentaires.

Lorsque le Client bénéficie de l’option SIP, tout usage du forfait avec appels illimités faisant appel à des dispositifs de traitement automatisé des appels (commutateur, PABX, dialer) est strictement interdit et considéré comme étant une fraude et entraînera la résiliation de plein droit du forfait avec appels illimités.

La réglementation relative l’enregistrement de conversations téléphoniques et à leur durée de conservation variant selon les pays / les zones géographiques concernés, il appartient au Client et aux Utilisateurs, lorsqu’ils envisagent d’activer cette option, de s’assurer de son caractère légal au regard des normes applicables, étant précisé que dans certains pays, l’Utilisateur doit informer ses correspondants de l’enregistrement de leur conversation téléphonique et du fait qu’ils peuvent à tout moment s’opposer à un tel enregistrement. L’utilisation de cette option d’enregistrement s’effectue sous la seule responsabilité du Client et des Utilisateurs du Service auxquels il incombe de s’assurer du respect de la réglementation locale.

La période de test sera accessible uniquement aux nouveaux Utilisateurs et limitée à 5 Accès. La période de test comprend 60 minutes de communication par Utilisateur hors numéros surtaxés, SMS et communications internationales.

Annexe 5 – Niveau de service

1. Principes généraux

La présente annexe décrit les différents niveaux de priorité des requêtes du Client au service support et leurs conditions de prise en charge, lesquels constituent les Indicateurs de Niveaux de Services (INS) , ainsi que le taux de disponibilité du Service (SLA).

Définitions :

  • P1 « Priorité 1 » : désigne une anomalie majeure rendant impossible l’utilisation totale des Services.
  • P2 « Priorité 2 » : désigne une anomalie bloquante sur une fonctionnalité majeure.
  • P3 « Priorité 3 » : désigne une anomalie mineure d’une fonctionnalité n’ayant pas d’impact significatif sur l’utilisation des Services.

La qualification par Ringover du niveau de priorité de l’anomalie soumise, fait foi dans les objectifs de Niveau de Service et prime sur toute qualification du Client.

2. INS

En fonction du niveau attribué par Ringover à la requête, celle-ci fait l’objet d’une remontée d’informations interne suivant un plan d’action tel que défini ci-dessous. Ce plan d’action est applicable pendant les heures ouvrables du support et concerne uniquement les plateformes de production.

Heure 6 à 8 : Le Directeur technique et le Chief Customer Officer, membres du CODIR sont informés de l’incident. Une équipe regroupant des spécialistes techniques est formée afin de résoudre la situation d’urgence de manières efficace.
P24 heuresHeure 1 à 2 : Le service support niveau 1 qualifie la demande et collecte les informations nécessaires au diagnostic, puis l’escalade au support niveau 2.
Jour 1 et 2 : Les équipes de support niveau 2 et de support avancé (niveau 3) sont mobilisées en collaboration avec les équipes de développement afin de fournir une solution de contournement ou une solution définitive.

3. SLA

Les Incidents relatifs à la fourniture du Service peuvent être signalés à RINGOVER GROUP par le Client 7j/7j et 24h/24h à l’adresse suivante : [email protected]. RINGOVER GROUP s’engageant alors à tout mettre en œuvre, avec l’assistance de ce dernier, pour traiter l’incident dans les meilleurs délais.

RINGOVER GROUP s’efforcera ainsi de rétablir le Service dans un délai de 2 heures à compter du signalement de l’Incident par le Client, la volonté de RINGOVER GROUP étant d’assurer un taux mensuel de disponibilité du Service supérieur à 99,95%, celui-ci étant calculé sur la base des signalements d’Incidents transmis au cours du mois de référence. À défaut, RINGOVER GROUP versera sur demande du Client, une indemnité libératoire, sous forme d’avoir sur sa prochaine facture, dont le montant est égal à :

  • 5% du montant de la facture émise au titre du mois considéré si le taux mensuel de disponibilité du Service est compris entre 99,95% et 99,5% ;
  • 10% du montant de la facture émise au titre du mois considéré si le taux mensuel de disponibilité du Service est compris entre 99,5% et 99% ;
  • 20% du montant de la facture émise au titre du mois considéré si le taux mensuel de disponibilité du Service est inférieur à 99% ;

à condition que la demande ait été faite dans un délai maximum d’un (1) mois à compter de l’Incident.

Les SLA ne sont pas applicables au Service Empower que RINGOVER GROUP propose à ses Clients.

THESE TERMS AND CONDITIONS (THIS “AGREEMENT”) SET FORTH THE TERMS AND CONDITIONS UNDER WHICH RINGOVER INC. REGISTERED IN THE STATE OF DELAWARE? WHOSE REGISTERED OFFICE IS LOCATED AT 185 ALEWIFE BROOK PARKWAY STE 210 CAMBRIDGE MA 02138 (“RINGOVER”), GRANTS TO THE CUSTOMER SET FORTH ON THE APPLICABLE PURCHASE ORDER (“CUSTOMER”, AND TOGETHER WITH RINGOVER, THE “PARTIES”, AND EACH, A “PARTY”) THE RIGHT TO USE RINGOVER’S SERVICES, WHICH SHALL BE SET FORTH IN FURTHER DETAIL IN THE APPLICABLE PURCHASE ORDER OR APPENDIX 1 ATTACHED TO THIS AGREEMENT (THE “SERVICES”). RINGOVER RESERVES THE RIGHT TO MODIFY THE TERMS OF THIS AGREEMENT PURSUANT TO THE TERMS HEREIN. This is a contract between Ringover and Customer. If Customer is a company, organization, or other entity, then you represent and warrant that you are an authorized representative of Customer with the authority to bind Customer to this Agreement, and that you agree to this Agreement on the entity’s behalf.

1. Definitions

  • (a) “Aggregated Statistics” means data and information related to Customer’s and its Authorized Users’ use of the Services that is used by Ringover in an aggregate and anonymized manner, including to compile statistical and performance information related to the provision and operation of the Services.
  • (b) “Authorized User” means each of Customer’s employees, consultants, contractors, and agents (i) who are authorized by Customer to access and use the Services under the rights granted to Customer pursuant to this Agreement and (ii) for whom access to the Services has been purchased hereunder.
  • (c) “Customer Data” means, other than Aggregated Statistics, information, data, and other content, in any form or medium, that is submitted, posted, or otherwise transmitted by or on behalf of Customer or any Authorized User through the Services.
  • (d) “Documentation” means Ringover’s user manuals, handbooks, and guides relating to the Services provided by Ringover to Customer either electronically or in hard copy form.
  • (e) “Purchase Order” means the purchase order provided by Ringover to the Customer, specifying the Service, subscriptions, and access to be made available to Customer and executed by the Parties.
  • (f) “Ringover IP” means the Services, the Documentation, and any and all intellectual property and other proprietary materials provided by or on behalf of Ringover to Customer or any Authorized User in connection with the foregoing. For the avoidance of doubt, Ringover IP includes Aggregated Statistics and any information, data, or other content derived from Ringover’s monitoring of Customer’s access to or use of the Services, but does not include Customer Data.

2. Access and Use

(a) Provision of Access

Subject to and conditioned on Customer’s payment of Fees and compliance with all other terms and conditions of this Agreement, Ringover hereby grants Customer a non-exclusive, non-transferable right to access and use the Services during the Term, solely for use by Authorized Users in accordance with the terms and conditions herein and the privacy policy available at https://www.ringover.com/privacy. Such use is limited to Customer’s internal business purposes. Ringover shall provide to Customer the necessary passwords and network links or connections to allow Customer to access the Services. The total number of Authorized Users will not exceed the number agreed to in writing by the Parties and subject to any appropriate adjustment of the Fees payable hereunder.

(b) Documentation License

Subject to the terms and conditions contained in this Agreement, Ringover hereby grants to Customer a non-exclusive, non-sublicensable, non-transferable license to use the Documentation during the Term solely for Customer’s internal business purposes in connection with its use of the Services.

(c) Use Restrictions

Customer shall not use the Services for any purposes beyond the scope of the access granted in this Agreement (including any and all appendices and exhibits attached hereto and incorporated herein). Customer shall not at any time, directly or indirectly, and shall not permit any Authorized Users to: (i) copy, modify, or create derivative works of the Ringover IP, in whole or in part; (ii) rent, lease, lend, sell, sublicense, assign, distribute, publish, transfer, or otherwise make available any Ringover IP, including on or in connection with the internet or any time-sharing, service bureau, software as a service, cloud, or other technology or service; (iii) reverse engineer, disassemble, decompile, decode, adapt, or otherwise attempt to derive or gain access to the source code of the Ringover IP, in whole or in part; (iv) bypass or breach any security device or protection used by the Ringover IP or access or use the Ringover IP other than by an Authorized User through the use of his or her own then-valid access credentials; (v) input, upload, transmit, or otherwise provide to or through the Ringover IP any information or materials that are unlawful or injurious, or contain, transmit, or activate any means any software, hardware, or other technology, device, or means, including any virus, worm, malware, or other malicious computer code, the purpose or effect of which is to (a) permit unauthorized access to, or to destroy, disrupt, disable, distort, or otherwise harm or impede in any manner any (1) computer, software, firmware, hardware, system, or network; or (2) any application or function of any of the foregoing or the security, integrity, confidentiality, or use of any data processed thereby; or (b) prevent Customer or any Authorized User from accessing or using the Ringover IP as intended by this Agreement; (vi) damage, destroy, disrupt, disable, impair, interfere with, or otherwise impede or harm in any manner the Ringover IP, or Ringover’s provision of services to any third party, in whole or in part; (vii) remove, delete, alter, or obscure any trademarks, specifications, Documentation, warranties, or disclaimers, or any copyright, trademark, patent, or other intellectual property or proprietary rights notices from any Ringover IP, including any copy thereof; or (viii) access or use any Ringover IP in any manner or for any purpose that infringes, misappropriates, or otherwise violates any intellectual property right or other right of any third party (including by any unauthorized access to, misappropriation, use, alteration, destruction, or disclosure of the data of any other Ringover customer), or that violates any applicable laws or regulations; or (ix) access or use any Ringover IP for purposes of competitive analysis thereof, the development, provision, or use of a competing software service or product or any other purpose that is to Ringover’s detriment or commercial disadvantage.

(d) Reservation of Rights

Ringover reserves all rights not expressly granted to Customer in this Agreement. Except for the limited rights and licenses expressly granted under this Agreement, nothing in this Agreement grants, by implication, waiver, estoppel, or otherwise, to Customer or any third party any intellectual property rights or other right, title, or interest in or to the Ringover IP.

(e) Suspension

Notwithstanding anything to the contrary in this Agreement, Ringover may temporarily suspend Customer’s and/or any of its Authorized Users’ access to any portion or all of the Services if: (i) Ringover reasonably determines that (A) there is a threat or attack on any of the Ringover IP; (B) Customer’s and/or any of its Authorized Users’ use of the Ringover IP disrupts or poses a security risk to the Ringover IP or to any other customer or vendor of Ringover; (C) Customer and/or any of its Authorized Users is using the Ringover IP for fraudulent or illegal activities; (D) subject to applicable law, Customer has ceased to continue its business in the ordinary course, made an assignment for the benefit of creditors or similar disposition of its assets, or become the subject of any bankruptcy, reorganization, liquidation, dissolution, or similar proceeding; (E) Customer or any of its Authorized Users has made a false or fraudulent declaration to Ringover or any legal or regulatory authority; or (F) Ringover’s provision of the Services to Customer or any of its Authorized Users is prohibited by applicable law; or (ii) any vendor of Ringover has suspended or terminated Ringover’s access to or use of any third-party services or products required for Ringover to provide the Services to Customer or to enable Customer to access the Services (any such suspension described in subclause (i) or (ii), a “Service Suspension”). Ringover shall use reasonable efforts to provide written notice of any Service Suspension to Customer and to provide updates regarding resumption of access to the Services following any Service Suspension. Ringover shall use commercially reasonable efforts to resume providing access to the Services as soon as reasonably practicable after the event(s) giving rise to the Service Suspension is cured or no longer exists. Ringover will have no liability for any damage, liabilities, losses (including any loss of data or profits), or any other consequences that Customer or any of its Authorized Users may incur as a result of a Service Suspension.

(f) Aggregated Statistics

Notwithstanding anything to the contrary in this Agreement, Ringover may monitor Customer’s use of the Services and collect and compile Aggregated Statistics. As between Ringover and Customer, all right, title, and interest in Aggregated Statistics, and all intellectual property rights therein, belong to and are retained solely by Ringover. Customer acknowledges that Ringover may compile Aggregated Statistics based on Customer Data input into the Services. Customer agrees that Ringover may (i) make Aggregated Statistics publicly available in compliance with applicable law, and (ii) use Aggregated Statistics to the extent and in the manner permitted under applicable law; provided that such Aggregated Statistics do not identify Customer or Customer’s Confidential Information.

(g) Portability

(i) Inbound

Subject to technical feasibility (to be determined in Ringover’s reasonable discretion), when subscribing to the Services, Customer may port one or more existing telephone numbers to the Services; provided that, for the avoidance of doubt, Customer is and shall be responsible for all fees and charges due and payable with respect to such telephone numbers prior to such portability . Each U.S. number ported in to Ringover must be associated with a U.S. physical address. Customer hereby represents and warrants that it is the legal owner of all telephone numbers for which Customer is requesting such portability, and acknowledges that it is aware that porting of telephone numbers entails termination of Customer’s previous telephone line and cessation of all services of its previous carrier, service provider or operator associated with such numbers. Customer acknowledges and agrees that Ringover shall have no liability for discontinuation of such previous associated services. If Customer wishes to cancel a porting request and remain a customer of its previous carrier, Customer must inform Ringover prior to the effective date on which the porting of the applicable number to Ringover is complete. Customer’s request shall only be initiated by Ringover once Ringover has received all requested documentation for Customer registration for the Services. Customer acknowledges and agrees that implementation of portability of Customer’s telephone numbers is dependent upon actions of the Customer’s then-current carrier, service provider or operator, and that Ringover shall have no liability for any delay in porting any number due to any cause other than Ringover’s own negligence or willful misconduct. Customer acknowledges and agrees that additional Fees may be charged by Ringover for fulfillment of portability requests outside normal business hours, if accepted by Ringover.

(ii) Outgoing

In the event of the termination of this Agreement or closure of Customer’s account with Ringover for any reason, if Customer does not request that Customer’s telephone numbers allocated to Customer by Ringover in connection with the Services (“Ringover Numbers”) be ported to a new carrier or service provider in accordance with this Section 2(g)(ii), then after a period of six (6) months following the termination of this Agreement or closure of the applicable account, Customer’s Ringover Numbers will be made available for assignment to other customers of Ringover. Subject to Customer’s compliance with all terms and conditions of this Agreement, Customer may request that some or all of the Ringover Numbers be ported out to another operator. Such porting request shall be submitted by the new operator at least thirty (30) calendar days prior to the end of the then-current Initial Term or Renewal Term; provided, that if termination or account closure will not coincide with the end of a Term, the new operator shall submit a porting request to Ringover as soon as practicable, but in no event later than the effective date of termination or account closure . Customer shall have no right to make an outgoing portability request after termination or expiration of its subscription to the Services. Upon Ringover’s completion of processing a portability request from another operator, Customer’s subscription to the Services and access to its Ringover Number shall be automatically terminated; provided that Customer shall be responsible for all costs of the Services up to the date of such termination. In order for outgoing portability of the Ringover Number to be accepted by Ringover, Customer must provide proof (to Ringover’s reasonable satisfaction) of a valid local address in the geographical area of the applicable Ringover Number when the Ringover Number was activated. Customer acknowledges and agrees that Ringover shall have no liability in connection with a telephone number subject to outgoing portability, including with respect to failure or subsequent malfunction thereof.

3. Customer Responsibilities

(a) General

Customer is responsible and liable for all uses of the Services and Documentation resulting from access provided by Customer, directly or indirectly, whether such access or use is permitted by or in violation of this Agreement. Without limiting the generality of the foregoing, Customer is responsible for all acts and omissions of all Authorized Users, and any act or omission by an Authorized User that would constitute a breach of this Agreement if taken or omitted by Customer will be deemed a breach of this Agreement by Customer. Customer shall use reasonable efforts to make all Authorized Users aware of this Agreement’s provisions as applicable to each such Authorized User’s use of the Services, and shall cause Authorized Users to comply with such provisions. Customer shall cooperate with Ringover and its designees as necessary and reasonably requested in order to enable the provision of the Services, and Customer shall provide all information required by Ringover with respect thereto. As between the Parties, Customer shall be responsible for storage, confidentiality and use of its and its Authorized Users’ IDs and passwords. If Customer has reason to believe that a third party is using any of its or its Authorized Users’ identification details or account without authorization, it must immediately inform Ringover and change its password(s) accordingly. Ringover shall not be liable in the event of disclosure of such data to any third parties.

(b) Proof of Identity

Customer shall ensure that the person subscribing to the Services on its behalf proves their identity and their capacity to act and represent Customer to Ringover’s reasonable satisfaction and to the extent required by applicable law and regulations.

(c) Technical Requirements

Prior to receiving the Services, Customer must implement, and throughout the Term, Customer shall maintain the technical requirements set forth on Appendix 2 attached to this Agreement.

4. Fees and Payment

(a) Fees

Customer shall pay Ringover the fees (“Fees”) as mutually agreed upon by the Parties herein (including Appendix 3 to this Agreement attached hereto) without offset or deduction, which shall correspond to the prices set forth on the applicable Purchase Order, or if none, as set forth on https://www.ringover.com/pricing. Ringover may add new services for additional fees and charges, add or amend fees and charges for existing services, at any time in its sole discretion. Any changes to Fees shall become effective in the billing cycle following notice of such change to Customer as provided in this Agreement. Invoices are payable in arrears and issued on a monthly basis. If additional Authorized Users are added at any time during the Term, Customer shall be invoiced on a pro rata basis for such additional Authorized Users on the next applicable invoice. If Customer fails to make any payment when due, without limiting Ringover’s other rights and remedies: (i) Ringover may charge interest on the past due amount at the rate of 1.5% per month calculated daily and compounded monthly or, if lower, the highest rate permitted under applicable law; (ii) Customer shall reimburse Ringover for all costs incurred by Ringover in collecting any late payments or interest, including attorneys’ fees, court costs, and collection agency fees; and (iii) if such failure continues for 15 days or more, Ringover may suspend Customer’s and its Authorized Users’ access to any portion or all of the Services until such amounts are paid in full.

(b) Automatic Renewal of Subscription Fees

IF CUSTOMER SIGNS UP FOR A SUBSCRIPTION TO THE SERVICES, THE CORRESPONDING FEES WILL AUTOMATICALLY RENEW EVERY MONTH ON A CONTINUOUS BASIS UNLESS AND UNTIL CUSTOMER NOTIFIES RINGOVER OF CUSTOMER’S INTENT TO CANCEL SUCH SUBSCRIPTION, WHICH SHALL WILL BE EFFECTIVE IN THE MONTH FOLLOWING SUCH NOTICE. UNLESS AND UNTIL RINGOVER RECEIVES ANY SUCH NOTICE, CUSTOMER’S SUBSCRIPTION AND ALL CORRESPONDING FEES WILL AUTOMATICALLY RENEW, AND CUSTOMER AUTHORIZES RINGOVER AND ANY AND ALL AUTHORIZED THIRD PARTY PAYMENT PROVIDERS (WITHOUT NOTICE TO YOU, UNLESS REQUIRED BY APPLICABLE LAW) TO CHARGE THE APPLICABLE SUBSCRIPTION FEES AND ANY TAXES, USING ANY ELIGIBLE PAYMENT METHOD ON RECORD FOR CUSTOMER.

(c) Payment Information

Customer shall make all payments hereunder in US dollars on or before each due date mutually agreed upon by the Parties by credit card or debit. All information that Customer provides in connection with the Service must be accurate, complete, and current. Customer agrees to pay all charges incurred by Authorized Users of Customer’s credit card, debit card, or other payment method used in connection with the Service at the Fees then currently in effect.

(d) Taxes

All Fees and other amounts payable by Customer under this Agreement are exclusive of taxes and similar assessments. Customer is responsible for all sales, use, and excise taxes, and any other similar taxes, duties, and charges of any kind imposed by any federal, state, or local governmental or regulatory authority on any amounts payable by Customer hereunder, other than any taxes imposed on Ringover’s income.

5. Confidential Information

From time to time during the Term, either Party may disclose or make available to the other Party information about its business affairs, products, confidential intellectual property, trade secrets, third-party confidential information, and other sensitive or proprietary information, whether orally or in written, electronic, or other form or media/in written or electronic form or media, and whether or not marked, designated, or otherwise identified as “confidential” (collectively, “Confidential Information”). Confidential Information does not include information that, at the time of disclosure is: (a) in the public domain; (b) known to the receiving Party at the time of disclosure; (c) rightfully obtained by the receiving Party on a non-confidential basis from a third party; or (d) independently developed by the receiving Party. The receiving Party shall not disclose the disclosing Party’s Confidential Information to any person or entity, except to the receiving Party’s employees who have a need to know the Confidential Information for the receiving Party to exercise its rights or perform its obligations hereunder. Notwithstanding the foregoing, each Party may disclose Confidential Information to the limited extent required (i) in order to comply with the order of a court or other governmental body, or as otherwise necessary to comply with applicable law, provided that the Party making the disclosure pursuant to the order shall first have given written notice to the other Party and made a reasonable effort to obtain a protective order; or (ii) to establish a Party’s rights under this Agreement, including to make required court filings. On the expiration or termination of the Agreement, the receiving Party shall promptly return to the disclosing Party all copies, whether in written, electronic, or other form or media, of the disclosing Party’s Confidential Information, or destroy all such copies and certify in writing to the disclosing Party that such Confidential Information has been destroyed. Each Party’s obligations of non-disclosure with regard to Confidential Information are effective as of the effective date of this Agreement and will expire ten (10) years from the date first disclosed to the receiving Party; provided, however, with respect to any Confidential Information that constitutes a trade secret (as determined under applicable law), such obligations of non-disclosure will survive the termination or expiration of this Agreement for as long as such Confidential Information remains subject to trade secret protection under applicable law.

6. Intellectual Property Ownership; Feedback

(a) Ringover IP

Except as expressly set forth hereunder in Section 2, nothing in this Agreement grants any right, title, or interest in or to (including any license under) any Ringover IP, whether expressly, by implication, estoppel, or otherwise. Customer acknowledges and agrees that all right, title, and interest in and to the Ringover IP is and will remain with Ringover.

(b) Customer Data; Marks

Ringover acknowledges that, as between Ringover and Customer, Customer owns all right, title, and interest, including all intellectual property rights, in and to the Customer Data. Customer represents and warrants that it has and will for the Term have all necessary rights to make the Customer Data available to Ringover as set forth in this Agreement. Customer is solely responsible for, and Ringover shall have no liability with respect to, the accuracy, quality, integrity, legality, reliability and suitability of the Customer Data. Customer hereby grants to Ringover a non-exclusive, royalty-free, sublicenseable, transferable, worldwide license to reproduce, distribute, and otherwise use and display the Customer Data and perform all acts with respect to the Customer Data as may be necessary for Ringover to provide the Services to Customer, and a non-exclusive, perpetual, irrevocable, royalty-free, sublicenseable, transferable, worldwide license to reproduce, distribute, modify, and otherwise use and display Customer Data to create and use Aggregated Statistics. Customer also hereby grants Ringover a non-exclusive, royalty-free, worldwide license to use and display trademarks, service marks, and logos of Customer in connection with promoting Ringover’s business and in advertising campaigns.

(c) Feedback

If Customer or any of its Authorized Users, employees or contractors sends or transmits any communications or materials to Ringover by mail, email, telephone, or otherwise, suggesting or recommending changes to the Ringover IP, including without limitation, new features or functionality relating thereto, or any comments, questions, suggestions, or the like (collectively, “Feedback”), Ringover is free to use such Feedback irrespective of any other obligation or limitation between the Parties governing such Feedback.

7. Text Messaging; Autodialed Calls and Texts

Customer expressly agrees that it will obtain all consents required by law from any person contacted by Customer through the Services using written, electronic, or verbal means, including by manual dialing, emails, leaving prerecorded or artificial voice messages or using an automatic telephone dialing system to call or text any person’s mobile cellular telephone numbers, as necessary to complete transactions requested by such persons and to service its and their accounts and as the law allows. Without limiting the generality of the foregoing, Customer will not contact any phone numbers that are registered on any federal or state Do-Not-Call/Do-Not-email registry unless it obtains the consent of the contacted party, or as otherwise permitted by such registries. Customer may enroll third parties to receive recurring SMS/text messages from Customer, including text messages about account-related news and alerts or marketing and promotional offers for Customer’s products and services. Customer will provide such parties with clear notice that by enrolling in Customer’s SMS/text messaging service, each such party agrees to receive text messages from Customer to its provided mobile phone numbers, and certifies that such mobile numbers are true and accurate and that such parties are authorized to enroll the designated mobile numbers to receive such texts. Customer shall obtain each such person’s explicit acknowledgement and agreement that texts may be sent using an automatic telephone dialing system and that standard message and data rates apply prior to using any automatic dialing system. Customer shall further notify all such persons that consent to receive SMS/text messages is not required as a condition of purchase of any Customer product or service. Ringover is not responsible for any delays that Customer may experience upon sending or receiving text messages. Customer shall permit any person to unsubscribe from text messages at any time, reply STOP, QUIT, END, CANCEL, or UNSUBSCRIBE to any text message received from Customer, and Customer shall so notify all recipients of its text messages. Customer shall obtain all such persons consent that following such a request to unsubscribe, such person may receive one final text message confirming such request.

8. Warranty Disclaimer

CUSTOMER ACKNOWLEDGES AND AGREES THAT THE RINGOVER IP IS PROVIDED “AS IS” AND RINGOVER HEREBY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. RINGOVER SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ALL WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE. RINGOVER MAKES NO WARRANTY OF ANY KIND THAT THE RINGOVER IP, OR ANY PRODUCTS OR RESULTS OF THE USE THEREOF, WILL MEET CUSTOMER’S OR ANY OTHER PERSON’S REQUIREMENTS, OPERATE WITHOUT INTERRUPTION, ACHIEVE ANY INTENDED RESULT, BE COMPATIBLE OR WORK WITH ANY SOFTWARE, SYSTEM, OR OTHER SERVICES, OR BE SECURE, ACCURATE, COMPLETE, FREE OF HARMFUL CODE, OR ERROR FREE. WITHOUT LIMITING THE FOREGOING, ANY INFORMATION PROVIDED BY RINGOVER IN CONNECTION WITH THE SERVICES IS FOR INFORMATIONAL PURPOSES ONLY AND SHOULD NOT BE CONSTRUED AS PROFESSIONAL ADVICE. NO ACTION SHOULD BE TAKEN BASED UPON INFORMATION CONTAINED IN THE SERVICES, AND CUSTOMER SHOULD SEEK INDEPENDENT PROFESSIONAL ADVICE FROM A PERSON WHO IS PROFESSIONALLY LICENSED OR QUALIFIED IN THE APPLICABLE AREA.

9. Indemnification

Customer shall indemnify, hold harmless, and, at Ringover’s option, defend Ringover from and against any and all losses, damages, liabilities, costs (including attorneys’ fees) (“Losses”) resulting from any resulting from any claim, suit, action, or proceeding (“Claim”) that, the Customer Data, or any use of the Customer Data in accordance with this Agreement, violates, infringes or misappropriates any intellectual property rights, privacy rights or other rights of another person or entity, and any Claims based on Customer’s or any Authorized User’s (i) negligence or willful misconduct; (ii) use of the Services in a manner not authorized by this Agreement; (iii) use of the Services in combination with data, software, hardware, equipment, or technology not provided by Ringover or authorized by Ringover in writing; or (iv) modifications to the Services not made by Ringover, provided that Customer may not settle any Claim against Ringover unless Ringover consents to such settlement, and further provided that Ringover will have the right, at its option, to defend itself against any Claim or to participate in the defense thereof by counsel of its own choice. Ringover shall promptly notify Customer in writing of any Claim for which Ringover believes it is entitled to be indemnified pursuant to this Section 9. In the event of any Claim, Ringover shall reasonably cooperate with Customer at Customer’s sole cost and expense. Customer shall promptly assume control of the defense and shall employ counsel reasonably acceptable to Ringover to handle and defend the same, at Customer’s sole cost and expense. Ringover may participate in and observe the proceedings at its own cost and expense with counsel of its own choosing. Customer shall not settle any Claim on any terms or in any manner that adversely affects the rights of Ringover without Ringover’s prior written consent. If Customer fails or refuses to assume control of the defense of such Claim, Ringover shall have the right, but no obligation, to defend against such Claim, including settling such Claim after giving notice to Ringover, in each case in such manner and on such terms as Ringover may deem appropriate. Ringover’s failure to perform any obligations under this Section 9 will not relieve the Customer of its obligations under this Section 9.

10. Limitations of Liability

IN NO EVENT WILL Ringover BE LIABLE UNDER OR IN CONNECTION WITH THIS AGREEMENT UNDER ANY LEGAL OR EQUITABLE THEORY, INCLUDING BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, AND OTHERWISE, FOR ANY: (a) CONSEQUENTIAL, INCIDENTAL, INDIRECT, EXEMPLARY, SPECIAL, ENHANCED, OR PUNITIVE DAMAGES; (b) INCREASED COSTS, DIMINUTION IN VALUE OR LOST BUSINESS, PRODUCTION, REVENUES, OR PROFITS; (c) LOSS OF GOODWILL OR REPUTATION; (d) USE, INABILITY TO USE, LOSS, INTERRUPTION, DELAY, OR RECOVERY OF ANY DATA, OR BREACH OF DATA OR SYSTEM SECURITY; OR (e) COST OF REPLACEMENT GOODS OR SERVICES, IN EACH CASE REGARDLESS OF WHETHER RINGOVER WAS ADVISED OF THE POSSIBILITY OF SUCH LOSSES OR DAMAGES OR SUCH LOSSES OR DAMAGES WERE OTHERWISE FORESEEABLE. IN NO EVENT WILL RINGOVER’S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT UNDER ANY LEGAL OR EQUITABLE THEORY, INCLUDING BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, AND OTHERWISE EXCEED THE TOTAL AMOUNTS PAID TO Ringover UNDER THIS AGREEMENT IN THE ONE YEAR PERIOD PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

11. Term and Termination

(a) Term

This Agreement begins on the date indicated on the applicable Purchase Order by Customer, and unless terminated earlier pursuant to this Agreement’s express provisions, will continue in effect for the initial term set forth in the applicable Purchase Order (the “Initial Term”). Thereafter, this Agreement will automatically renew for additional successive renewal terms set forth in the applicable Purchase Order (each, a “Renewal Term”, and together with the Initial Term, the “Term”) unless earlier terminated pursuant to this Agreement’s express provisions or either Party gives the other Party written notice of non-renewal at least ninety (90) days prior to the expiration of the then-current Initial Term or Renewal Term (Customer must send a termination request, in accordance with the previous terms, from https://support.ringover.com).

(b) Termination

In addition to any other express termination right set forth in this Agreement:

  • (i) Ringover may terminate this Agreement, effective on written notice to Customer, if Customer: (A) fails to pay any amount when due hereunder, and such failure continues more than 15 days after Ringover’s delivery of written notice thereof; or (B) breaches any of its obligations under Section 2(c) or Section 5;
  • (ii) either Party may terminate this Agreement, effective on written notice to the other Party, if the other Party materially breaches this Agreement (provided that any breach by Customer of Section 2 or 3 shall be deemed material breaches), and such breach: (A) is incapable of cure; or (B) being capable of cure, remains uncured 30 days after the non-breaching Party provides the breaching Party with written notice of such breach; or
  • (iii) either Party may terminate this Agreement, effective immediately upon written notice to the other Party, if the other Party: (A) becomes insolvent or is generally unable to pay, or fails to pay, its debts as they become due; (B) files or has filed against it, a petition for voluntary or involuntary bankruptcy or otherwise becomes subject, voluntarily or involuntarily, to any proceeding under any domestic or foreign bankruptcy or insolvency law; (C) makes or seeks to make a general assignment for the benefit of its creditors; or (D) applies for or has appointed a receiver, trustee, custodian, or similar agent appointed by order of any court of competent jurisdiction to take charge of or sell any material portion of its property or business.

(c) Effect of Expiration or Termination

Upon expiration or earlier termination of this Agreement, Customer shall immediately discontinue use of the Ringover IP and, without limiting Customer’s obligations under Section 5, Customer shall delete, destroy, or return all copies of the Ringover IP and certify in writing to the Ringover that the Ringover IP has been deleted or destroyed. No expiration or termination will affect Customer’s obligation to pay all Fees that may have become due before such expiration or termination or entitle Customer to any refund.

In the event of early termination before the then current Subscription Term, the Customer will be liable for early termination fees equal to the amount of the last invoice for the subscription multiplied by the number of months remaining until the end of the then current Subscription Term. The same shall apply in the event of termination of the Service at the initiative of RINGOVER GROUP due to an unpaid invoice.

(d) Survival

This Section 11(d) and Sections 1, 2(g), 4, 5, 6, 8, 9, 10, 11(c) and 12 survive any termination or expiration of this Agreement. No other provisions of this Agreement survive the expiration or earlier termination of this Agreement.

12. Miscellaneous

(a) Entire Agreement

This Agreement, together with any other documents incorporated herein by reference, constitutes the sole and entire agreement of the Parties with respect to the subject matter of this Agreement and supersedes all prior and contemporaneous understandings, agreements, and representations and warranties, both written and oral, with respect to such subject matter. In the event of any inconsistency between the statements made in the body of this Agreement and any other documents incorporated herein by reference, the following order of precedence governs: (i) first, this Agreement; and (ii) second, any other documents incorporated herein by reference.

(b) Notices

All notices, requests, consents, claims, demands, waivers, and other communications hereunder (each, a “Notice”) must be in writing and addressed to the Parties at the addresses set forth on the first page of this Agreement (or to such other address that may be designated by the Party giving Notice from time to time in accordance with this Section). All Notices must be delivered by personal delivery, nationally recognized overnight courier (with all fees pre-paid), facsimile or email (with confirmation of transmission), or certified or registered mail (in each case, return receipt requested, postage pre-paid). Except as otherwise provided in this Agreement, a Notice is effective only: (i) upon receipt by the receiving Party; and (ii) if the Party giving the Notice has complied with the requirements of this Section.

(c) Force Majeure

In no event shall Ringover be liable to Customer, or be deemed to have breached this Agreement, for any failure or delay in performing its obligations under this Agreement, if and to the extent such failure or delay is caused by any circumstances beyond Ringover’s reasonable control, including but not limited to acts of God, flood, fire, earthquake, epidemic, pandemic, explosion, war, terrorism, invasion, riot or other civil unrest, strikes, labor stoppages or slowdowns or other industrial disturbances, or passage of law or any action taken by a governmental or public authority, including imposing an embargo.

(d) Amendment and Modification; Waiver

No amendment to or modification of this Agreement is effective unless it is in writing and signed by an authorized representative of each Party. No waiver by any Party of any of the provisions hereof will be effective unless explicitly set forth in writing and signed by the Party so waiving. Except as otherwise set forth in this Agreement, (i) no failure to exercise, or delay in exercising, any rights, remedy, power, or privilege arising from this Agreement will operate or be construed as a waiver thereof, and (ii) no single or partial exercise of any right, remedy, power, or privilege hereunder will preclude any other or further exercise thereof or the exercise of any other right, remedy, power, or privilege.

(e) Severability

If any provision of this Agreement is invalid, illegal, or unenforceable in any jurisdiction, such invalidity, illegality, or unenforceability will not affect any other term or provision of this Agreement or invalidate or render unenforceable such term or provision in any other jurisdiction. Upon such determination that any term or other provision is invalid, illegal, or unenforceable, the Parties shall negotiate in good faith to modify this Agreement so as to effect their original intent as closely as possible in a mutually acceptable manner in order that the transactions contemplated hereby be consummated as originally contemplated to the greatest extent possible.

(f) Governing Law; Submission to Jurisdiction

This Agreement is governed by and construed in accordance with the internal laws of the State of New York without giving effect to any choice or conflict of law provision or rule that would require or permit the application of the laws of any jurisdiction other than those of the State of New York. Any legal suit, action, or proceeding arising out of this Agreement or the licenses granted hereunder will be instituted exclusively in the federal courts of the United States or the courts of the State of New York in each case located in the city of New York and County of New York, and each Party irrevocably submits to the exclusive jurisdiction of such courts in any such suit, action, or proceeding.

(g) Assignment

Customer may not assign any of its rights or delegate any of its obligations hereunder, in each case whether voluntarily, involuntarily, by operation of law or otherwise, without the prior written consent of Ringover. Any purported assignment or delegation in violation of this Section will be null and void. No assignment or delegation will relieve the assigning or delegating Party of any of its obligations hereunder. This Agreement is binding upon and inures to the benefit of the Parties and their respective permitted successors and assigns.

(h) Export Regulation

Customer acknowledges and understands that the Services may be subject to export control laws and regulations. Customer agrees to comply with all applicable export and re-export control and trade and economic sanctions laws, including the Export Administration Regulations maintained by the U.S. Department of Commerce, trade and economic sanctions maintained by the U.S. Treasury Department’s Office of Foreign Assets Control (“OFAC”), and the International Traffic in Arms Regulations maintained by the U.S. State Department. Neither Customer, nor any person to which Customer make the Services available or that is acting on Customer’s behalf, or, any of Customer’s subsidiaries, or any of its or their directors, officers or employees, or any person owning 50% or more of your equity securities or other equivalent voting interests, is (a) a person on the List of Specially Designated Nationals and Blocked Persons or any other list of sanctioned persons administered by OFAC or any other governmental entity, or (b) a national or resident of, or a segment of the government of, any country or territory for which the United States maintains trade and economic sanctions or embargoes. Customer shall comply with all applicable federal laws, regulations, and rules, and complete all required undertakings (including obtaining any necessary export license or other governmental approval), that prohibit or restrict the export or re-export of the Services or any Customer Data outside the US.

(i) US Government Rights

Each of the Documentation and the software components that constitute the Services is a “commercial product” as that term is defined at 48 C.F.R. § 2.101, consisting of “commercial computer software” and “commercial computer software documentation” as such terms are used in 48 C.F.R. § 12.212. Accordingly, if Customer is an agency of the US Government or any contractor therefor, Customer only receives those rights with respect to the Services and Documentation as are granted to all other end users, in accordance with (a) 48 C.F.R. § 227.7201 through 48 C.F.R. § 227.7204, with respect to the Department of Defense and their contractors, or (b) 48 C.F.R. § 12.212, with respect to all other US Government users and their contractors.

(j) Equitable Relief

Each Party acknowledges and agrees that a breach or threatened breach by such Party of any of its obligations under Section 5 or, in the case of Customer, Section 2(c), would cause the other Party irreparable harm for which monetary damages would not be an adequate remedy and agrees that, in the event of such breach or threatened breach, the other Party will be entitled to equitable relief, including a restraining order, an injunction, specific performance, and any other relief that may be available from any court, without any requirement to post a bond or other security, or to prove actual damages or that monetary damages are not an adequate remedy. Such remedies are not exclusive and are in addition to all other remedies that may be available at law, in equity, or otherwise.

Appendix 1 – Description of Services

Ringover is a professional internet telephony (VoIP) service, which allows company employees to receive and make phone calls directly from a web browser (without a software to install), a mobile application or a SIP phone.

Ringover also allows calls to the Ringover Number to be automatically forwarded to a landline or mobile phone number and to receive and send faxes, under the conditions defined below.

The Ringover Service may be used to make emergency calls provided that the country concerned is eligible and that Customer has provided Ringover with its physical location in accordance with this Agreement. Customer acknowledges and agrees that this emergency call service is not provided from mobile numbers. In the U.S., emergency services are only available for Customers with U.S. telephone numbers linked to a physical U.S. address(es). Customers located in the U.S. that do not have U.S. telephone numbers will not be able to access emergency services in the U.S. In Canada, emergency services are only available for Customers with Canadian numbers linked to a physical Canadian address(es). Customers located in Canada that do not have Canadian telephone numbers will not be able to access emergency services in Canada.

The provision of emergency services is conditioned on Customer providing Ringover with accurate location data, call back number, valid address or any other information required and requested by Ringover for each Ringover number/DID assigned to Customer in order to provide the emergency services. Customer shall provide this information in a timely manner and in a format required or requested by Ringover. Customer shall update this information whenever necessary to reflect changes. The Parties understand and acknowledge that should Customer fail to provide any such information, Ringover may not be able to provide the emergency services, in whole or in part. Customer agrees to release indemnify and defend Ringover and all of its affiliates, subsidiaries, employees, shareholders, agents, vendors, and representatives from any and all claims that may arise from Customer’s failure to satisfy this section including resulting from the failure of Customer to provide a correct or updated address to Ringover.

Subject to activation, the Services can be used to make local emergency calls, but Customer acknowledges that emergency calls made via the Services may not be routed if the VoIP service is interrupted, that there is a risk that the call will be redirected to an inappropriate emergency call center, and that the emergency services may be sent to the wrong location, acknowledging that Ringover does not know the exact location of the person dialing the emergency number.

Without limiting the generality of the foregoing, Customer acknowledges that the 911/E911 services available through VoIP services are different from 911/E911 services offered through traditional telephone lines. In particular, by signing the Purchase order, Customer represents, warrants and covenants that it has read and understood, and agrees to, the following restrictions or limitations on 911 calling using the Services, and that it will provide clear and conspicuous notice to all users of the Services under Customer’s account (regardless of whether such users are Authorized Users, guests, invitees or other third parties who may use the Services) of the same:

  • a. RINGOVER 911/E911 SERVICES MAY NOT OPERATE DURING A POWER OUTAGE. In the event of a power outage, the system will lose power causing loss of voice and data Service, including access to 911/E911 services. Once power service is restored, Customer may be required to reset or reconfigure its equipment before being able to use the Services to contact 911 services. Customer is responsible for providing a sufficient uninterruptible backup power supply if it wishes to ensure continued operation of electrical equipment in the event of a power outage.
  • b. RINGOVER 911/E911 SERVICES WILL NOT OPERATE IF A BROADBAND CONNECTION IS DISRUPTED OR IF EITHER CUSTOMER’S BROADBAND SERVICE OR RINGOVER’S SERVICE HAS BEEN SUSPENDED FOR ANY REASON, INCLUDING, FOR EXAMPLE, NON- PAYMENT. Once Customer’s broadband connection and/or Ringover Services have been restored, Customer may be required to reset or reconfigure its equipment before being able to use the Services to contact 911 services.
  • c. CUSTOMER AND EACH USER MUST PROVIDE RINGOVER WITH ITS CORRECT PHYSICAL LOCATION, AND UPDATE SUCH LOCATION WHENEVER A NUMBER IS USED FROM A LOCATION OTHER THAN THE PREVIOUSLY-REGISTERED LOCATION, OR 911/E911 SERVICES CALLS MAY BE ROUTED TO EMERGENCY PERSONNEL WHO WILL NOT BE ABLE TO ASSIST. Customer must register with Ringover the physical location (a “Registered Location”) of each telephone number used with the Services at the time of Service Activation and Customer or the affected user must update the Registered Location at the time that a number under Customer’s account is used to access or use the Services from a new location. It is the Customer’s responsibility to enter, verify and validate the Registered Location information for each number under its account. Assistance may be obtained through app or customer service. Such Registered Location shall include, at a minimum, the street address, floor and unit/suite/apartment/room number at which the Service is being used. Customer agrees to ensure that the Registered Location of each number used under its account is correct and to update, or require its users to update, immediately the Registered Location whenever the physical location of at which the Service is being used by such user changes. Location changes may take up to 48 hours for the location change to be reflected in Ringover’s records. During that time, the calls may not reach any emergency service provider or may not reach the correct emergency services provider. Customer acknowledges and agrees that updates may incur a fee, and Customer agrees to pay all such fees as invoiced by Ringover. Customer further acknowledges and understands that any location information passed to emergency personnel by Ringover will be based upon the Registered Location provided by Customer or a user to Ringover.
  • d. 911/ E911 SERVICES CALLS MAY BE DELAYED OR DROPPED DUE TO NETWORK INSTABILITY. Due to network congestion or problems, calls to 911/E911 services made using the Services may be dropped, in which case the user will not be connected to emergency services, or 911 calls may take longer to connect than 911 calls made using traditional telephone service.
  • e. EMERGENCY PERSONNEL MAY NOT BE EQUIPPED TO RECEIVE E911 CALLS. The local emergency call taker receiving the 911 call may not have a system configured for E911 services or be able to capture and/or retain number or location information. Therefore, the emergency call taker may not know the phone number or physical location of the user making the 911 call which may delay or prevent emergency services. Due to technical factors in network design and in the event of network congestion there is a possibility that a 911 call will produce a busy signal, will experience unexpected answering wait times and/or take longer to answer than 911 calls placed via traditional, wireline 911 services.

Customer represents and warrants that they are aware of the details of emergency calls made via Ringover’s Services and has informed all of Authorized Users thereof.

Customers whose Services involve multiple phone lines, seats, DIDs, trunks, channels or similar end user access points will designate a location (including email and/or mobile phone number) to receive notification whenever a 911 call is placed using Customer’s Services, and at which an employee, contractor or other person(s) designated by Customer is likely to see such notification 24/7/365. Customer will ensure that such information remains up-to-date in its account and applicable system software or hardware, and shall notify Ringover promptly upon any change in such information.

Customer will be responsible for managing and directing the configuration and operation of any multi-line, multi-trunk or multi-channel voice Service ordered by Customer. Without limiting the generality of the foregoing, Customer will be responsible for managing its use of the Services and its operation of all equipment and devices used with the Services in accordance with all applicable laws. Customer’s obligations shall include, without limitation, (i) designating one or more administrators who are authorized to order seats, channels, trunks, lines or other modifications to the Service, or to reconfigure hardware used with the Services; (ii) determining the number of lines, seats, channels, trunks and or DID numbers required for Customer’s needs, the assignment and re-assignment of lines, seats, channels, trunks and/or DID numbers among its Authorized Users, changes in the number, location or other characteristics of lines, seats, channels or trunks required; and (iii) the day-to-day operations of the Services.

Customer acknowledges and agrees that a separate telephone number DID must be purchased and assigned for each user of the Service that may access the Service from any non-fixed device or from any location other than Customer’s address to place outbound calls to the public switched telephone network in order for 911 services to function properly for such user.

Ringover advises Customer to maintain a means of accessing traditional 911/E911 emergency services from all Customer locations and take appropriate measures and precautions to ensure such emergency services are available to Customer and callers at Customer’s premises.

Transfer service to an external number shall be charged according to the destination.

To use the fax service, Customer must have a dedicated number associated with its Authorized User who will receive the document on its mailbox. Sending faxes is done via the Ringover interface in the dedicated menu.

Customer service and support can be contacted by phone or email from Monday to Friday from 9 am to 6 pm and on Saturday from 9:30 am to 1:30 pm.

Customer can also subscribe to chargeable options, excluded from the subscription rate, directly on Ringover’s dashboard. The chosen options will be invoiced from the month following its subscription. Some options may be assigned to a specific Customer use account. In this case, for committed customers, when access is removed, the option will also be terminated, while for uncommitted customers, this option may be removed at any time.

Appendix 1(a) - Description of Cadence Services

Ringover offers Customer the “Cadence” Services, which comprise access to a multi-channel prospecting tool that enables all Authorized Users’ exchanges (SMS, emails, calls, LinkedIn messages) with prospects to be grouped together in a platform and all the actions carried out during prospecting to be monitored.

Main features of the “Cadence” Services include the following:

  • Creation and management of multi-channel prospecting sequences (e-mail, SMS, calls, LinkedIn messages).
  • Automatic list of daily tasks for each user and the possibility to perform them directly from the Cadence interface.
  • CRM integration (list available at https://www.ringover.com/cadence/integrations).
  • Integration with user tools: messaging tool, LinkedIn extension, data enrichment tool, etc.
  • Statistics dashboard.
  • Template collection.

RINGOVER GROUP offers its Customers the Empower Service, a transcription tool that uses Artificial Intelligence to analyze your calls and take full advantage of your call history.

  • Analysis and written transcription of audios.
  • Analysis of customer’s mood during the call.

Technical Requirements

Customer shall ensure that, throughout the Term, its telephone/internet operator or network administrator (as applicable) offers Customer the possibility of receiving and making telephone calls directly from Firefox (minimum version 80) or Chrome (minimum version 80) internet browsers, a mobile application or a SIP phone in order to be able to use the Services.

Customer must to ensure that the installation made available to Authorized Users has the following characteristics:

  • a good quality Internet connection, with sufficient speed per user;
  • the prioritization of voice flows over data flows on its network;
  • the use of access equipment that respects the integrity of SIP messages;
  • opening of flows to ports 443/tls, 5060/udp, 5060/tcp and 20000-22000/udp for RTP;
  • have at least 6 GB of RAM;
  • the use of codecs in the following order of preference: OPUS, G711 (PCMA, PCMU).

For the avoidance of doubt, MRCP protocol is not supported by the Services.

Customer acknowledges and agrees that accessibility to the Services is only possible with the latest versions of the Chrome and Firefox web browsers. For optimal use, Ringover recommends use of the latest version of the applicable browser.

Appendix 3 - Special terms and conditions and Prices

Subscription rates for Services shall be as set forth on the applicable Purchase Order or if not set forth on the Purchase Order, at https://www.ringover.com/pricing.

1. Type of package according to the chosen Subscription

When subscribing to the Services, Customer may, provided they are eligible, opt for unlimited calls or for billing on a consumption basis:

In the event of a subscription for Services with unlimited calls, all Authorized Users shall receive access to an unlimited call and fax sending package to the destinations accessible at the following URL https://www.ringover.com/pricing or as set forth on the appliable Purchase Order. Such package with unlimited calls is limited to traditional business telephony use, in the context of an interpersonal conversation between two individuals. In order to make or receive calls not included in this unlimited package, Customer must first purchase prepaid call credits, which can be used by its Authorized Users. These credits are valid for the Term and are non-refundable, non-exchangeable and non-transferable to another customer account. The addition of any access to Services or Ringover Numbers during the Term will give rise to additional charges which will be calculated on the basis of the prices indicated on the applicable Purchase Order, or if not set forth on such Purchase Order, at https://www.ringover.com/pricing.

Deletion of a Ringover Number associated with a Customer account with no commitment will be free of charge. Deletion of a Ringover Number associated with a Ringover Account with a committed subscription to Services will result in the invoicing of an amount equal to six (6) months of applicable Fes. Deletion of a Ringover Number during an assignment prior to its portability or during a test period as mutually agreed upon by the Parties will be free of charge for Customer.

2. Conditions applicable to the sending of SMS

The Service does not allow the sending of SMS+, premium SMS and SMS to international destinations. Furthermore, an SMS has a maximum length of 160 characters when composed of standard 7-bit characters, and 70 characters when composed of Unicode characters. The SMS will be charged at the rate indicated at the following URL:https://www.ringover.com/pricing.

3. Exceeding the package

If Customer exceeds its use limitations for the Services, calls will be charged per second, according to Ringover’s current rates. With respect to calls not included in a Customer’s unlimited package, Services will be invoiced per second from the first second, except in the case of calls to special numbers as set forth by Ringover.

4. Volume commitment

Customer shall not reduce the volume of committed subscriptions to the Services during the Term (whether with respect to the initial subscription set forth on the applicable Purchase Order or additional subscriptions added during the Term).

5. Annual revision

Annual subscription: RINGOVER reserves the right to increase the price of the Access and Ringover Numbers included by up to six percent (6%) per year at the end of the initial or renewed commitment.

Monthly subscription: RINGOVER reserves the right to increase the price of the Access and Ringover Numbers included by up to six percent (6%) per year from the anniversary date of the signing of the Purchase Order.

The Customer may contact [email protected] at least three (3) months before the date of renewal of the commitment of the anniversary date of the signing of the Purchase Order if it wishes to negotiate the terms and/or conditions af application of the annual price revision.
